Mr Southam is a CPA with more than 30 years’ experience in accounting, operations, capital markets and finance across the resources and industrial sectors. He was previously Managing Director of Mincor Resources NL (ASX: MCR). Prior to Mincor, David was Executive Director of ASX200 nickel company Western Areas (ASX: WSA) and has held senior executive roles within Brambles Group, ANZ Investment Bank and WMC Resources. David is currently a non-executive director of Ramelius Resources (ASX: RMS).

He was previously Managing Director of Mincor Resources NL (ASX: MCR). Prior to Mincor, David was Executive Director of ASX200 nickel company Western Areas (ASX: WSA) and has held senior executive roles within Brambles Group, ANZ Investment Bank and WMC Resources. David is currently a non-executive director of Ramelius Resources (ASX: RMS).
Ernest Mast has 30 years of experience in various technical and executive roles in the mining industry, across a wide range of commodities, geographies and development stages. Mr. Mast is on the Board of Scottie Resources. Corp. Mr. Mast previously held the positions of President and Chief Executive Officer at Primero Mining Corp., Vice President of Corporate Development at Copper Mountain Mining Corporation, Vice President of Operations at New Gold Inc. and President and CEO of Minera Panama S.A., Inmet Mining Corporation’s subsidiary, developing the $6B Cobre Panama project

Mr Tomlinson is a highly experienced mining executive with more than 3 decades’ experience across geology, investment banking, fundraising and corporate M&A in multiple jurisdictions including Canada, Australia, Africa and the UK. Mr Tomlinson previously held directorships at numerous companies including Centamin PLC and Cardinal Resources. He is currently Non-Executive Independent Chairman of Bellevue Gold (ASX: BGL) and a Non-Executive Director of Kodiak Copper (TSX-V: KDK) and FireFly Metals (ASX: FFM).
Mr Tomlinson is a highly experienced mining executive with more than 3 decades’ experience across geology, investment banking, fundraising and corporate M&A in multiple jurisdictions including Canada, Australia, Africa and the UK. Mario Stifano is a seasoned mining executive and Chartered Professional Accountant with over 16 years of experience working with exploration, development and producing mining companies. Mr. Stifano is currently the Chief Executive Officer of Galantas Gold Corporation. Mr. Stifano has held a number of senior executive positions including Chief Executive Officer of Cordoba Minerals Corp., Executive Chairman with Mega Precious Metals Inc.

Brent Omland was appointed in 2023 to the role of co-CEO of Ocean Partners Holdings Limited, an international base and precious metals trader. Since 2013, he was the Chief Financial Officer and a Director of Ocean Partners. Before joining Ocean Partners, Mr. Omland was the Chief Financial Officer for Ivernia Inc. and Enirgi Metals Group, companies focused on lead mining and secondary lead smelting in Australia.

He has more than 27 years’ experience in corporate finance in the mining sector and has advised a diverse range of resources companies during his career at one of Australia’s largest investment banking and stockbroking / financialservices firms.

Nicholas Kwong, P.Eng., MBA, has more than 15 years of corporate, technical, operations experience in the mining industry, predominantly in gold and base metals in North American, Australia, Latin American and Saudi Arabia. Most recently, Mr. Kwong was General Manager at Ma’aden Gold’s’ Sukhaybarat & Bulghah gold mines in Saudi Arabia. There he completed the mine and mill expansion and modernization which resulted in a significant increase in production and decrease in unit costs, all while controlling capital costs during the COVID 19 pandemic.

Prior to that he worked with Randgold Resources (now Barrick Gold) at the Loulo Gold Mine in West Africa.

Ms Cramer was previously Joint Company Secretary at Bellevue Gold (ASX:BGL) and an Associate at Bellanhouse Legal and HWL Ebsworth Lawyers. Ms Cramer specialises in corporate and commercial transactions, including capital raisings, IPOs and backdoor listings, and corporate governance issues. She is also a Company Secretary for Firefly Metals (ASX:FFM) and Midas Minerals (ASX:MM1).

The goals of the Company’s corporate governance processes are to:
maintain and increase Shareholder value;
ensure a prudential and ethical basis for the Company’s conduct and activities; and
ensure compliance with the Company’s legal and regulatory objectives.
Governance practices are not a static set of principles and the company assesses its governance practices on an annual basis. Changes and improvements are made in a substance over form manner, which appropriately reflect the changing circumstances of the company as it grows and evolves. Accordingly, the Board has established a number of practices and policies to ensure that these intentions are met and that shareholders are fully informed about the affairs of the company.
